Online Notarial Procedures

Certain notarial procedures can be carried out entirely digitally. This applies to specified transactions in the area of company law as well as to filings with the Commercial Register. Identification of the parties, the declaration of content and communication all take place via the official portal of the German Federal Chamber of Notaries, which serves as a secure system.

Possible transactions include, in particular, the online formation of limited liability companies (GmbH) and entrepreneurial companies (UG), the granting of powers of attorney for incorporation, amendments to articles of association and the corresponding filings with the Commercial Register, as well as other filings with the Commercial Register and the Register of Associations. The documents are prepared electronically and are read aloud and signed during the video conference.

Electronic Notarisation

In the case of electronic notarisation in physical presence, notarisation still takes place with the personal attendance of the parties at the notary's office. However, the deed is created exclusively in electronic form, displayed on a screen during the notarisation process, read aloud, and then signed by the parties by hand on a suitable electronic device. The notarial signature is also applied digitally.

This procedure fully complies with all statutory requirements and offers a modern alternative to the traditional paper deed. Its key advantage is that the deed exists as an electronic original and can therefore be processed further and implemented electronically without delay.
