Changes to the capital structure of a corporation can occur through the contribution of cash or non-cash capital, the repayment of capital contributions, or the appropriation of capital; in such cases, the number or par value of the shares typically changes.

In the case of contributions in kind, it should be noted that the valuation of such contributions typically requires a formal calculation process. Therefore, coordination with tax advisors and auditors regarding the fair value is essential to avoid risks and to be able to provide proof of fair value to the commercial register. In certain circumstances, the need for a valuation may be mitigated.

The objectives pursued through a capital transaction can be diverse; capital transactions may also be required in special situations, such as in connection with a merger or the contribution of shares in other companies to effect a tax-neutral share swap.
